1. Introduction

Welcome to BuiltByBots—your partner for AI‑driven automation, web design, and end‑to‑end digital performance solutions. By purchasing, signing a proposal, or continuing to use our services, you confirm acceptance of these Terms and Conditions ("Terms"), including any future revisions communicated to you.

2. Scope of Services

2.1 AI Automation Systems

We design and implement custom workflows—CRM integrations, lead‑flow automations, notifications, and AI enhancements—using platforms such as Make and Zapier.

Testing & Handover: All automations are tested before delivery. We are not liable for third‑party outages or client changes after hand‑over.

Ownership: Full rights transfer on final payment.

Support: Ten (10) business‑day post‑delivery support is included; ongoing work is billed hourly or covered by a retainer.

2.2 Web Design

Fast, responsive websites—often with built‑in automations—delivered to spec.

Content Provision: You supply all content not generated in our initial AI copy pass. Delays extend timelines.

Revisions: Two rounds are included; further rounds are billed hourly.

Ownership: Rights transfer on full payment or completion of subscription term.

Hosting: First‑year hosting may be bundled; thereafter standard hosting fees apply (see § 2.7).

2.3 Graphic Design & Animation

Logo and general design projects include two revision rounds; extra revisions are billed hourly.

Custom animations follow the agreed scope; changes outside scope are billed hourly.

2.4 Search Engine Optimisation (SEO)

On‑page/off‑page optimisation, keyword research, and Google Business Profile setup/maintenance. No rankings are guaranteed due to factors outside our control.

2.5 Paid Advertising (Google Ads Management)

End‑to‑end campaign setup and optimisation. We are not liable for overspend, platform errors, or indirect damages. Ad budgets remain the client’s responsibility.

2.6 Social Media Marketing

Content creation, posting, and engagement management for major platforms. We are not responsible for audience opinions or unintended consequences of social content.

2.7 Domain Hosting

Hosting provided via Afrihost (soft SLA: 24–48 hrs). Service continuity is best‑effort; we are not liable for downtime‑related losses.

Storage Threshold: When usage hits 90 % of allocated space, upgrade pricing will be sent.

2.8 Ongoing Automation & Digital Support (Optional)

Retainer clients receive incremental improvements, bug fixes, and priority access. Excludes rebuilds caused by third‑party changes or user errors unless otherwise agreed.

3. Payment Terms

Billing Frequency: Project‑based or subscription, as stated in your proposal. Invoices are due within seven (7) days.

Grace Period: Three (3) calendar days after due date. On day 1 of arrears you will receive an automated reminder.

Hosting Suspension (Monthly Plans): Unpaid invoices > 3 days trigger automatic hosting suspension.

Cancellation for Arrears: If the balance remains unpaid after fourteen (14) business days, hosting and/or the domain may be cancelled or released. Reactivation—subject to availability—incurs a R 350 fee plus all outstanding amounts.

Interest & Fees: Interest and administration fees may apply to late payments.

Out‑of‑Scope Work: Billed at our standard hourly rate.

4. Service Delivery

Timelines: We strive to meet agreed schedules; delays caused by client inaction or external platform failures extend deadlines.

Hosting SLA: Domain hosting follows a soft 24–48 hr SLA; uptime is not guaranteed.

Automation Reliability: Performance depends on third‑party uptime. We disclaim liability for downtime, API changes, or data loss.

5. Client Responsibilities

Provide accurate, timely content, credentials, and feedback.

Approve deliverables promptly to keep projects on schedule.

Avoid altering live workflows without consulting us.

6. Revisions & Approvals

Web & Automation Projects: Two in‑scope revision cycles post‑handover.

Graphic & Animation Projects: Two revision cycles.

Additional revisions are billed hourly.

7. Performance Expectations & Guarantees

We do not guarantee specific revenue, rankings, or engagement metrics. Our commitment is to deliver performant solutions aligned with your brief.

8. Liability

Cap on Liability: Limited to the total fees paid for the service in question.

Indirect Damages: We are not liable for indirect, incidental, or consequential losses—including ad overspend, missed leads, social media backlash, or automation errors.

9. Intellectual Property

All deliverables remain BuiltByBots property until full payment. Once settled, you receive a non‑exclusive, transferable right to use, modify, and adapt the work.

10. Confidentiality & Data Protection

We treat all client data as confidential and never share it with third parties except as required to deliver the contracted services.

11. Cancellation & Termination

By Client: 30 days’ written notice. Outstanding invoices and work‑in‑progress costs remain payable.

By BuiltByBots: Immediate termination for non‑payment or material breach.

12. Legal & Dispute Resolution

Governing Law: South African law.

Process: Mediation first; if unresolved, arbitration in South Africa.

13. Amendments

We may update these Terms. Notice is given via email or our website. Continued use signifies acceptance of changes.

14. Miscellaneous

Entire Agreement: These Terms supersede all prior agreements or understandings.

Force Majeure: We are not liable for delays or failures caused by events beyond our control—e.g., natural disasters, strikes, or internet outages.
